Who We Are

The Site is operated by Fate Wonder LLC (California, USA). Dr. Saadat Bagherigaleh, MD provides executive/leadership coaching services through Fate Wonder.

Medical, Mental Health, and Emergency Disclaimer (No Doctor-Patient Relationship)

Although Dr. Saadat is a licensed medical doctor (MD), the services offered through this Site and through Fate Wonder are not medical services and are not a substitute for medical care.

You understand and agree that:

• Coaching is not medical advice, diagnosis, or treatment. • Coaching is not therapy, psychotherapy, counseling, or any mental health treatment. • Using the Site, booking a discovery call, or engaging in coaching does not create a doctor-patient relationship or any fiduciary clinical relationship. • You are responsible for your own physical and mental health decisions, and for seeking appropriate licensed professionals for medical or mental health concerns.

Emergency and crisis resources: If you believe you or someone else may be in danger, call 911 (U.S.) or your local emergency number. If you are in the U.S. and need immediate mental health support, call or text 988 (988 Suicide & Crisis Lifeline).

Coaching Scope and Your Responsibilities

Coaching is a collaborative professional development process focused on leadership, performance, and workplace effectiveness. You are responsible for:

• Your decisions, actions, and results. • Communicating goals and constraints. • Using your best judgment and seeking appropriate professional advice where needed (including medical, mental health, legal, tax, or financial advice).

We may decline, pause, or end coaching if we believe it is not appropriate for your needs or if required for safety, legal, or ethical reasons.

No Guarantees; Results Vary

We do not guarantee any particular outcome, including (without limitation) promotions, compensation increases, revenue growth, performance ratings, funding, hiring outcomes, relationship outcomes, or business results.

Any examples, case studies, or testimonials reflect individual experiences and are not a promise that you will achieve similar results.

Testimonials and Endorsements

Testimonials on the Site are used with permission. They may be edited for clarity or length while preserving the meaning.

Testimonials represent the experiences of specific individuals and are not necessarily typical. Your results depend on many factors, including your role, organization, effort, timing, and circumstances.

Scheduling and Third-Party Services (Calendly)

We use Calendly to facilitate scheduling. Your use of Calendly is subject to Calendly's own terms and privacy policy. We are not responsible for third-party services, their availability, or their data practices.

If you prefer not to use Calendly, you may email saadatbg@gmail.com to request alternative scheduling when feasible.

BetterUp Is Separate

Dr. Saadat may provide coaching through BetterUp independently of Fate Wonder. BetterUp services are governed by BetterUp's agreements and policies.

These Terms apply only to the Site and Fate Wonder coaching engagements, not to BetterUp's platform or services.

Website Use Rules

You agree to use the Site in a lawful and respectful manner. You may not:

• Use the Site in a way that violates any law or regulation.
• Interfere with or disrupt the Site (including probing, scanning, or testing vulnerabilities).
• Attempt to gain unauthorized access to any systems or data.
• Submit false, misleading, or infringing information through the contact form.
• Use automated means (bots, scrapers) to access or collect content from the Site without our permission.

Intellectual Property; Limited License

All content on the Site—including text, graphics, branding, design, audio/video (if any), downloads, and overall look and feel—is owned by Fate Wonder LLC and/or Dr. Saadat or is used with permission, and is protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Site for your own lawful, non-commercial use.

Except as expressly permitted in writing, you may not copy, reproduce, distribute, publicly display, modify, create derivative works from, or otherwise exploit Site content.

No Scraping / No AI Training Use

You may not (and may not allow others to) scrape, crawl, harvest, or collect content from the Site by automated means, including for the purpose of building datasets.

You may not use Site content (including coaching frameworks, written materials, and branding elements) to train, fine-tune, or develop machine learning or AI models without our prior written consent.

Confidentiality (Coaching)

We treat coaching communications as confidential and will not share them with third parties without your consent, except as described below.

Exceptions: We may disclose information if we reasonably believe disclosure is necessary to (a) comply with law or a lawful request, (b) protect rights, safety, or security, or (c) address serious safety concerns (for example, imminent risk of harm to self or others).

You understand that coaching communications are not medical records and are not covered by HIPAA unless a separate written agreement explicitly states otherwise.

Fees, Discovery Calls, and Future Paid Services

The Site may offer a free discovery call. Any paid coaching services, if offered, will be governed by a separate written agreement and/or additional terms provided to you.

No payments are processed through this Site at this time.

Professional Advice Disclaimer

The Site may contain general information about leadership, performance, and professional development. This content is provided for informational purposes only and is not legal, financial, tax, medical, or mental health advice.

You should consult qualified professionals for advice tailored to your situation.

Assumption of Risk

Coaching involves personal reflection and behavior change and may involve discussing challenging professional situations. You assume responsibility for how you apply insights or suggestions and for the outcomes of your decisions.

If you have concerns about your mental health or wellbeing, please seek care from a qualified licensed provider.

Limitation of Liability

To the maximum extent permitted by law, Fate Wonder LLC, Dr. Saadat, and their respective members, managers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Site, discovery calls, or coaching services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Site, any discovery call, these Terms, or any coaching services will not exceed the amount you paid to Fate Wonder for the coaching services giving rise to the claim.

If you did not pay any fees to Fate Wonder (for example, you are a Site visitor or only attended a free discovery call), our total liability will not exceed US $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Fate Wonder LLC and Dr. Saadat from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) content you submit through the Site.

Dispute Resolution: Informal Process First

Before filing a claim, you agree to try to resolve disputes informally by sending a notice to saadatbg@gmail.com with: (1) your name and contact information, (2) a description of the dispute, and (3) the relief you are requesting.

We will attempt to resolve the dispute informally within 30 days after receiving your notice. This informal resolution period is a condition precedent to filing arbitration (unless your claim qualifies for small claims court).

Binding Arbitration; Class Action Waiver; Small Claims Carve-Out

If we cannot resolve a dispute informally within 30 days, you and Fate Wonder agree to resolve any dispute arising out of or relating to these Terms, the Site, discovery calls, or coaching services through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

Class action waiver: You and Fate Wonder agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Arbitration procedures and venue: The arbitration will be conducted by a recognized arbitration provider under its applicable rules for consumer or commercial disputes (as appropriate). Unless the parties agree otherwise, the arbitration will take place in Los Angeles County, California, and may be conducted remotely where permitted by the rules.

Authority: The arbitrator has exclusive authority to resolve disputes relating to the interpretation, applicability, or enforceability of this arbitration provision, except that a court may determine the enforceability of the class action waiver.

If any part of this arbitration provision is found unenforceable, the remainder will still apply to the maximum extent permitted by law.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Except for small claims matters and actions to enforce or challenge the arbitration provision, any court proceedings will be brought in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms or if necessary to protect the Site or users.

Sections that by their nature should survive termination will survive, including Intellectual Property, No AI Training Use, Confidentiality (as applicable), Limitation of Liability, Indemnification, and Dispute Resolution.

Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above indicates when they were last updated.

By continuing to use the Site after changes become effective, you agree to the updated Terms.

Miscellaneous

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

No waiver: Failure to enforce any provision is not a waiver.

Entire agreement: These Terms and any policies referenced (including our Privacy Policy) constitute the entire agreement regarding your use of the Site, unless replaced or supplemented by a separate written coaching agreement.

Legal and Informational Disclaimer

This Site and these Terms are provided for general informational purposes. They do not constitute legal advice. If you need legal advice regarding your particular situation, consult a qualified attorney.
